Terms of Sale

These Terms of Sale govern arrangements you order from Twelve Thirty Four. By placing an order through our app, website, or in person, you accept these terms. If anything below is unclear, write to us and we will explain it plainly before you commit.

Twelve Thirty Four operates from 4034 Swiss Avenue, Dallas, Texas 75204. Reach us at contact@twelvethirtyfourflowers.com or +1 469-531-6723.

By placing an order, you represent that you are at least 18 years old, that the payment method you use is yours or used with the cardholder's authorization, and that the information you provide is accurate and complete.


1. The order flow

Every order goes through a manual review before any money is captured.

When you place an order, your card is authorized for the total amount but not yet charged. Our team reviews each order, confirms timing and availability, and may reach out by phone or email if a change is needed.

Your card is charged only after we confirm the order. If we cannot fulfill the order as described, we void the authorization and your card is never charged.

You will see two statuses in the app:

  • Pending review. Authorized, not yet charged.
  • Confirmed. Charged. We are sourcing and arranging.

2. Pricing and payment

Arrangements are offered at five tiers:

Commission orders are custom-scaled arrangements at a price you select within the range above. All other terms in these Terms of Sale apply to Commission orders.

A delivery fee applies to delivery orders, based on distance from our address:

Applicable Texas state and local sales tax is added to the subtotal plus delivery fee.

We accept Apple Pay and credit cards through Stripe. We do not store your card details. Stripe does. You may save a card to your account for faster future orders.

All prices are in US dollars.


3. Substitutions and artist's choice

Our work is seasonal. The flowers available the week your arrangement is made may differ from any photograph or description you saw at the time of order.

"Artist's choice" — the default for Quick Order — means you are trusting our team to design the arrangement using the freshest seasonal flowers available. Specific flowers, colors, and forms are determined by the team when the arrangement is made.

When you select a non-artist's-choice preference, we will use reasonable efforts to source what you asked for. If your preferred flower is not available and we cannot find a close match, we will use reasonable efforts to reach you before fulfilling to discuss options. If we cannot reach you within a reasonable window, we will substitute in good faith using flowers of equal or greater value.

By placing an order, you accept that substitutions may occur and that the final arrangement will reflect the spirit and tier of your order rather than an exact image.


4. Delivery

We deliver within 100 miles of 4034 Swiss Avenue, Dallas, Texas. Outside that range, contact us to discuss options.

You select a delivery date when you order. We deliver during business hours on the date selected. We do not guarantee delivery windows narrower than the chosen date.

You are responsible for the accuracy of the delivery address. We do not verify recipient identity at delivery. Redelivery to a corrected address is at our discretion and at your expense, billed at the applicable zone rate plus a $25 redelivery fee. No refund is owed for delivery completed to the address you provided.

Delivery is considered complete, and risk of loss passes to you, when the arrangement is left at the delivery address you provided. If no one is home, we leave the arrangement in a safe location at the address. We are not responsible for arrangements left at the address after delivery — weather damage, theft, pets, or anything else that happens once the arrangement is on site.

If we cannot complete delivery — incorrect address, refused acceptance, gated access without entry — we will attempt to contact you for resolution. Arrangements that cannot be delivered after one attempt may be held for pickup at our address or, at our sole discretion, refunded subject to the cancellation rules in Section 6.

Delivery confirmation may include timestamps, photographs of the arrangement at the delivery address, and other reasonable records. These records may be used as evidence in any payment dispute.


5. Pickup

Pickup orders are collected at 4034 Swiss Avenue, Dallas, Texas, during business hours.

You select a pickup date and time when you order. The earliest pickup is 90 minutes from order placement.

Risk of loss for pickup orders passes to you at the scheduled pickup time, whether or not you have collected the arrangement.

If an arrangement has not been collected within 48 hours of the scheduled pickup time, we will attempt to contact you once. After that window, arrangements may be donated, repurposed, or disposed of at our sole discretion. We do not refund uncollected pickup orders.


6. Cancellations and refunds

All sales are final. Fresh-cut flowers are perishable and non-returnable. No refund or exchange is available except as expressly stated in these Terms.

Before your order is confirmed (status: "Pending review"): you may cancel by contacting us. Your card authorization is voided and no charge is made.

Once confirmed and charged, an order may be refunded under these conditions:

  • Before fulfillment begins (no sourcing or arranging has started): full refund.
  • After fulfillment has begun but before delivery or pickup: refund of the order amount minus a cancellation fee equal to the verified wholesale cost of perishable materials sourced for your order, not to exceed 50% of the order subtotal. We will itemize this on request.
  • After delivery or pickup: refunds are at our sole discretion. Quality concerns are resolved by replacement, partial refund, or credit toward a future order, with the remedy chosen by us based on the circumstances.

We respond to refund requests within two business days. Refunds process through Stripe and typically appear on your card within 5 to 10 business days.


7. Quality and seasonal variation

Flowers are perishable, natural products. Color, form, and bloom development vary from one stem to the next and from one week to the next.

Photographs in the app and on our website represent past arrangements. Your arrangement will reflect the same tier, palette, and spirit, but will not be identical.

If your arrangement does not meet the quality standard you expected, contact us within 24 hours of receipt. We will resolve the issue with a replacement, partial refund, or credit, depending on the circumstances. Claims received more than 24 hours after delivery or pickup are waived.


8. Care after delivery

Fresh-cut flowers benefit from clean water, cool room temperature, and trimming. Care instructions specific to your arrangement are available on request.

We are not responsible for arrangement longevity after delivery. Typical fresh-cut lifespan is 5 to 10 days depending on flower type, room conditions, and care.


9. Allergies, sensitivities, and safety

Flowers and foliage can cause allergic reactions in some people and animals. We do not screen arrangements for any specific allergen.

If you or the recipient has a known sensitivity, tell us before ordering and we will work to design around it. We make no guarantee of allergen-free composition.

Some plants — notably lilies — are toxic to cats and other animals. Recipients with pets should consult with us before receiving lily-containing arrangements.

You expressly assume all risk of allergic reaction, sensitivity, or toxicity to humans or animals arising from contact with the arrangement, for yourself and for any recipient. You agree to indemnify and hold harmless Twelve Thirty Four, its team, and its contractors from any claim, injury, illness, veterinary expense, or death attributable to the arrangement's natural botanical content, except in cases of gross negligence or willful misconduct by Twelve Thirty Four.


10. Assumption of risk for perishables

Fresh-cut flowers are living, perishable, natural products. You acknowledge that color, form, fragrance, longevity, pollen shed, and botanical toxicity vary stem to stem and week to week, and are inherent to the product. You assume all risk arising from these natural characteristics.


We photograph arrangements before delivery for our portfolio and archives. By placing an order, you grant Twelve Thirty Four a non-exclusive license to photograph, reproduce, publish, and distribute images of the arrangement itself for promotional, editorial, and archival purposes.

We do not photograph recipients, residences, event spaces, or any other identifying scene without prior written consent. Where any identifying scene appears in a portfolio image, we will obtain explicit written consent before publication.

You may opt out of portfolio use of your arrangement photograph by writing to contact@twelvethirtyfourflowers.com within 30 days of delivery. After 30 days, this license is irrevocable.

We retain copyright on all arrangement photographs. You may request a photograph of your own arrangement at no charge.


12. Warranty disclaimer

ARRANGEMENTS ARE PROVIDED AS-IS. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, TWELVE THIRTY FOUR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW. NO EMPLOYEE OR AGENT HAS AUTHORITY TO EXTEND ANY WARRANTY BEYOND THESE TERMS.

Nothing in this section limits any non-waivable consumer right you have under the Texas Deceptive Trade Practices Act or other applicable Texas law.


13. Limitation of liability

Our total cumulative liability for any order is capped at the greater of (a) the amount you paid for that order, or (b) $100.

We disclaim liability for indirect, incidental, consequential, special, or punitive damages, including missed occasions, emotional distress, lost profits, or loss of goodwill, to the fullest extent permitted by Texas law.

If a court finds any portion of this section unenforceable in your jurisdiction, the remaining limitations stay in effect. Nothing in this section limits any non-waivable consumer right you have under Texas law.


14. Force majeure

We are not liable for delay or failure to perform caused by events beyond our reasonable control, including weather, supplier failure, wholesale shortages, illness, power or system outages, carrier disruption, civil unrest, government action, public health emergencies, or acts of God.

In such cases we will, at our option, substitute, reschedule, or refund the affected order. Such remedy is your exclusive remedy.


15. Indemnification

You agree to indemnify, defend, and hold harmless Twelve Thirty Four, its team, and its contractors from any third-party claim, loss, expense, or damage (including reasonable attorney's fees) arising from your order, the delivery instructions you provided, the recipient's handling or use of the arrangement, or your breach of these Terms.


16. Events and weddings

These Terms do not cover event or wedding contracts. Event and wedding work is governed by a separate written agreement between you and Twelve Thirty Four.


17. Electronic communications

You consent to receive notices, confirmations, receipts, and legal communications electronically — by in-app message, push notification, email, or SMS — at the address or phone number you provide. Electronic notice satisfies any legal requirement that a communication be in writing.


18. Severability and entire agreement

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

These Terms, together with our Privacy Policy and any written event or wedding agreement, are the entire agreement between you and Twelve Thirty Four regarding your order, and supersede any prior representation or communication.

You may not assign or transfer your order or these Terms without our written consent. We may assign these Terms in connection with a sale or reorganization of the business.


19. Changes to these terms

We may update these Terms from time to time. The "Effective" date at the top of this document reflects the most recent revision. Significant changes are announced via push notification in the app.

Changes apply only to orders placed after the new Effective date. Orders already placed are governed by the Terms in effect when you ordered.


20. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

If a dispute arises, contact us first. We will try to resolve it directly within 30 days. Disputes that cannot be resolved informally are subject to the exclusive jurisdiction of state and federal courts located in Dallas County, Texas.

Either party may elect to resolve any dispute in the small claims court of Dallas County, Texas, which is the preferred venue for any claim under $20,000.

The prevailing party in any action arising from these Terms is entitled to recover reasonable attorney's fees and costs.

You and Twelve Thirty Four each waive the right to a jury trial in any action arising from these Terms.
